Terms of Service

Agreement to terms

These Terms of Service ('Terms') govern Customer's access to and use of the Anilize platform, websites, services, software, and content (collectively, the 'Services'). The Services are provided by Anilize, Inc. ('Anilize'). Use of the Services is also subject to any executed Master Services Agreement, order form, or data processing addendum between Customer and Anilize.

By accessing the Services, Customer accepts these Terms on behalf of itself and any users it authorizes to use the Services under its account. Customer represents that it is entering these Terms through an authorized representative.

Nature of the services

Anilize is a mortgage technology platform serving licensed mortgage companies, brokers, loan officers, and their realtor partners. Anilize does not itself make credit decisions, underwrite loans, originate credit, commit to lend, or replace any lender, broker, or compliance obligation that Customer is required to satisfy.

Customer is solely responsible for compliance with all applicable federal and state lending regulations including the Equal Credit Opportunity Act / Regulation B, the Fair Credit Reporting Act, the Real Estate Settlement Procedures Act, the Truth in Lending Act, the Gramm-Leach-Bliley Act, the SAFE Act, and applicable state mortgage-licensing laws.

Customer is solely responsible for maintaining valid NMLS company and individual licensing for every jurisdiction in which Customer originates loans through the Services.

Acceptable use

Customer will not, and will not permit any user to: (a) use the Services for any unlawful, fraudulent, infringing, or harmful purpose; (b) reverse-engineer, decompile, or attempt to derive the source code of any Anilize software; (c) resell, sublicense, distribute, rent, or lease the Services or any output of the Services to any third party; (d) use the Services to construct or substitute for a Fair Credit Reporting Act 'consumer report'; (e) use Plaid-derived data outside the loan-origination workflow it was collected for; (f) attempt to access another tenant's data; (g) interfere with the Services' security, integrity, or performance; (h) use the Services in violation of any third-party rights, including intellectual property and privacy rights.

Customer's use of integrated third-party services, including Plaid, is also subject to those services' own terms. Customer is responsible for maintaining its independent compliance with each third-party service's policies.

Prohibited industries

The Services may not be used by, or on behalf of, any business or individual that engages in any of the following activities, regardless of state-level legality. Customer attests at provisioning that it does not engage in any of the following:

  1. Online gambling, sports betting, or real-money gaming
  2. Adult content, services, or media (including pornography and transactional escort services)
  3. Cannabis, marijuana, hemp-derived THC products, and other Schedule I controlled substances
  4. Cryptocurrency exchange, wallet, custodial, or money-transmission businesses
  5. Payday lending, title lending, or any consumer credit product with APR exceeding state usury caps
  6. Debt collection, debt buying, debt settlement, or debt relief services regulated under the FDCPA
  7. Money services businesses (MSBs) as defined under 31 CFR §1010.100
  8. Firearms, ammunition, weapons, or weapons accessories sales
  9. Multi-level-marketing or pyramid-scheme businesses
  10. Any business currently subject to a federal or state regulatory enforcement action, consent decree, or active fraud investigation

Anilize may suspend or terminate the Services if Customer is found to engage in any prohibited activity. Customer must promptly notify Anilize if its business activities change in a way that may bring it within a prohibited category.

Data ownership and processing

Customer retains all right, title, and interest in Customer Data submitted to or generated through the Services. Customer grants Anilize a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide the Services and to comply with legal obligations.

Anilize processes borrower personal information on behalf of Customer as a service provider. The Anilize Data Processing Addendum governs that processing relationship and is incorporated by reference.

Customer represents that it has all necessary rights, consents, authorizations, and notices in place to permit Anilize to process the Customer Data Customer submits, including borrower consent for any third-party data integration such as Plaid Link.

Anilize intellectual property

All right, title, and interest in the Services, including all software, designs, content, logos, trade names, and other intellectual property, remain the exclusive property of Anilize and its licensors.

Customer feedback regarding the Services is provided on a non-confidential basis and Anilize may use feedback for any purpose without compensation.

Third-party services

The Services include integrations with third-party providers including Plaid for borrower financial verification, Stripe for billing, and other subprocessors disclosed at /legal/subprocessors.

Each third-party provider is governed by its own terms. Customer's relationship with the borrower regarding Plaid use is supplemented by Plaid's own End User Privacy Policy and End User Services Agreement, available at plaid.com/legal/.

Fees and payment

Subscription fees, billing terms, and order details are governed by Customer's executed order form or subscription agreement. Customer is responsible for keeping payment information current and for any taxes assessed on the Services.

Anilize may suspend the Services for non-payment after providing notice and a reasonable cure period.

Term and termination

Customer or Anilize may terminate these Terms in accordance with the executed order form or subscription agreement. Anilize may terminate immediately for material breach, including violation of the Acceptable Use or Prohibited Industries sections.

Upon termination, Customer's access to the Services ends and Customer Data is retained or deleted per the Data Processing Addendum and applicable retention obligations under mortgage compliance, audit, fraud-prevention, and legal-hold requirements.

Disclaimer of warranties

The Services are provided on an 'as is' and 'as available' basis. Anilize disclaims all warranties not expressly granted in these Terms or in the executed order form, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Anilize does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that the Services will satisfy Customer's regulatory or compliance obligations.

Limitation of liability

To the maximum extent permitted by law, Anilize and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising from or related to use of the Services. Anilize's total aggregate liability arising from these Terms or the Services is limited as set forth in the executed order form.

These limitations apply even if a remedy fails of its essential purpose.

Indemnification

Customer will indemnify and hold harmless Anilize from any third-party claims arising from Customer's use of the Services in violation of these Terms, applicable law, or the rights of any third party, including any borrower whose data Customer processed through the Services.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved in the state and federal courts located in Delaware, except either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

Changes to these terms

Anilize may update these Terms as products, legal requirements, or security controls change. Material updates will be published on this page and, where required, communicated to Customer through the contact on file.

Continued use of the Services after a material update constitutes acceptance of the updated Terms.
